Terms of Service

These Terms of Service (“Terms”) govern your use of the website located at webdesignisland.com and any services provided by Web Design Island LLC (“we,” “us,” or “our”), a Nevada limited liability company owned and operated by Tori Jones, conducting business under the name WDI Digital Design, based in Las Vegas, Nevada.
By using this website or engaging our services, you agree to these Terms. If you do not agree, please do not use this website or engage our services.
1. About Web Design Island LLC
Web Design Island LLC provides digital systems design services to service businesses in the United States. Our services include website design and development, local business listing management, and AI-powered business automation. We do not provide services to HIPAA-regulated businesses, ecommerce businesses, or businesses outside the United States.
2. Services
We offer the following services, each governed by a separate service agreement or proposal:
**SmartListings**Local business listing management across 40+ directories. Includes initial setup, ongoing monitoring, Google Business Profile optimization, duplicate suppression, and monthly visibility reports.
**SmartWeb**Custom WordPress website design and development. Includes a one-time build and optional ongoing monthly support, hosting management, security updates, and content updates.
**SmartEmployee**AI-powered front desk automation system. Includes AI chat and phone agent setup, unified inbox, smart booking calendar, automated follow-up sequences, and ongoing system management. Built on the GoHighLevel platform. Carrier usage fees apply for SMS and phone services and are billed separately.
The specific scope, deliverables, timeline, and pricing for any engagement are outlined in your proposal or service agreement. In the event of any conflict between these Terms and a signed service agreement, the service agreement governs.
3. Payment Terms
**SmartListings:** Billed monthly at the current rate. First payment is due upon service commencement. Subsequent payments are charged automatically on the same day each month.
**SmartWeb:** The build fee is split into two payments — 50% is due upon project kickoff, and the remaining 50% is due 30 days from the project start date. The ongoing monthly support and hosting fee begins upon site launch and is billed automatically each month thereafter.
**SmartEmployee:** A one-time setup fee is due prior to system build commencement. The monthly service fee begins upon system launch and is billed automatically each month. Carrier usage fees for SMS and phone calls are billed separately based on actual usage.
**All payments are in US dollars.** Payments are processed through Stripe. By providing payment information, you authorize Web Design Island LLC to charge the amounts agreed upon in your service proposal or agreement.
**Late payments:** If a payment fails or is not received by the due date, we reserve the right to pause or suspend services until the outstanding balance is resolved. We will make reasonable attempts to notify you of a failed payment before suspending service.
**Refunds:** All fees paid are non-refundable unless otherwise agreed in writing. Project deposits are non-refundable once work has commenced.
4. Cancellation Policy
**Monthly services (SmartListings, SmartWeb support, SmartEmployee):** You may cancel any monthly service at any time with written notice to us. Cancellation takes effect at the end of the current billing cycle. You will not be charged for the following month after a valid cancellation notice is received.
**SmartWeb build projects:** The build fee is a project fee, not a subscription. Once a project has commenced, the 50% deposit is non-refundable. If you choose to discontinue the project after kickoff but before completion, you are responsible for the deposit already paid. The second payment is due only upon project completion and your approval.
**Effect of cancellation on deliverables:**
* SmartListings: Your business listings remain as they were at the time of cancellation. Ongoing monitoring and updates cease.
* SmartWeb: Your website remains live. You retain full ownership of your domain, WordPress installation, and content. You will need to arrange independent hosting and update management.
* SmartEmployee: Your AI agents, booking page, and automated workflows are deactivated. You may export your contacts, conversation history, and booking data prior to cancellation.
5. Client Responsibilities
To receive our services, you agree to:
* Provide accurate, complete, and up-to-date business information required for project setup and service delivery
* Respond to requests for approvals, feedback, and content within agreed timeframes
* Maintain ownership and control of your domain name and provide necessary access credentials when required
* Ensure you have the legal right to use any content, images, logos, or trademarks you provide to us for use in your project
* Not use our services for any unlawful purpose or in violation of any applicable laws or regulations
* Notify us promptly of any changes to your business information, contact details, or service requirements
Project timelines are dependent on timely responses from you. Delays caused by late content delivery, approvals, or feedback are not our responsibility and may result in adjusted timelines.
6. Ownership and Intellectual Property
**Your content:** You retain full ownership of all content, images, logos, text, and other materials you provide to us. You grant Web Design Island LLC a license to use this content solely to perform the services you have engaged us to provide.
**Website deliverables:** Upon receipt of full payment, you own your completed WordPress website including all pages, content, and design elements created specifically for your project. This does not include third-party themes, plugins, or licensed assets, which are subject to their own licensing terms.
**Our tools and systems:** The underlying GoHighLevel platform, automation frameworks, templates, and system architecture used to build and deliver SmartEmployee are proprietary to Web Design Island LLC and/or GoHighLevel. You do not own the platform itself — you own your data, contacts, and content within it.
**Our website and brand:** All content on webdesignisland.com — including text, graphics, logos, and design — is owned by Web Design Island LLC and protected by applicable intellectual property laws. You may not reproduce, distribute, or use our content without written permission.
